Terms of Service

1. Acceptance of Terms

By creating an account or using 10DLCwizard ("Service", "we", "us", "our"), you agree to be bound by these Terms of Service ("Terms") and our Privacy Policy. If you do not agree, do not use the Service.

These Terms constitute a legally binding agreement between you (or the company you represent) and 10DLCwizard. If you are using the Service on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.

2. Description of Service

10DLCwizard is a software platform that helps businesses register A2P 10DLC (Application-to-Person 10-Digit Long Code) SMS brands and campaigns through Twilio's API. The Service provides:

• A dashboard for managing brand registrations and campaign submissions.
• AI-powered compliance pre-checks that analyze your website against carrier requirements.
• Automated submission of registration data to Twilio's A2P API on your behalf.
• Automated status polling every 30 minutes to track submission outcomes.

The Service is a registration assistant only. We do not operate as a carrier, a Campaign Registry (TCR) member, or a messaging service provider.

3. Account Registration and Security

You must provide accurate and complete information when creating your account. You are responsible for:

• Maintaining the confidentiality of your password and access credentials.
• All activity that occurs under your account.
• Notifying us immediately at security@10dlcwizard.com if you suspect unauthorized access.

We reserve the right to terminate accounts that are used for fraud or abuse.

4. Bring Your Own Twilio Account (BYOK)

The Service operates on a Bring Your Own Key model. You connect your own Twilio account by providing your Account SID and credentials. This means:

• All API calls to Twilio are made using your Twilio credentials and billed to your Twilio account.
• 10DLCwizard does not resell or mark up Twilio services.
• You remain solely responsible for your Twilio account, its usage, billing, and compliance with Twilio's own Terms of Service.
• We encrypt your credentials at rest using AES-256-GCM and only decrypt them in memory when making API calls.
• You can disconnect your Twilio account and delete your stored credentials at any time from the Settings page.

5. No Guarantee of Carrier Approval

10DLCwizard does not and cannot guarantee that any brand or campaign registration will be approved by Twilio, The Campaign Registry (TCR), or any carrier.

Approval decisions are made exclusively by TCR and the relevant wireless carriers based on their own review criteria, which may change without notice. Our AI compliance pre-check identifies common issues before submission to reduce rejection risk, but it is not a guarantee of approval.

If a registration is rejected, the error message and reason (where provided by Twilio) will be surfaced in your Submissions dashboard. You are responsible for reviewing and addressing any compliance issues before resubmitting.

6. Acceptable Use

You agree not to use the Service to:

• Submit false or misleading registration information to Twilio or TCR.
• Register campaigns for prohibited content categories (e.g., SHAFT: sex, hate, alcohol, firearms, tobacco, or any other content prohibited by carrier rules).
• Circumvent, reverse-engineer, or interfere with the Service or its security measures.
• Use the Service in any way that violates applicable law, including the TCPA, CAN-SPAM Act, or carrier codes of conduct.
• Attempt to access other users' accounts or data.

We may suspend or terminate your account immediately if we detect prohibited use.

7. Fees and Payment

Specific pricing plans and payment terms are described on our Pricing page. By subscribing to a paid plan you authorize us to charge your payment method on the applicable billing cycle.

All fees are exclusive of applicable taxes. Refunds are issued at our sole discretion. We reserve the right to change pricing with 30 days' notice to existing subscribers.

8. Intellectual Property

The Service, including its software, UI, documentation, and branding, is owned by 10DLCwizard and protected by intellectual property laws. You are granted a limited, non-exclusive, non-transferable license to use the Service solely for your internal business purposes in accordance with these Terms.

You retain all ownership rights to the data you submit (business information, campaign descriptions, website content). You grant us a limited license to process that data solely to provide the Service.

9. Privacy

Our Privacy Policy describes how we collect, use, and protect your information. By using the Service you agree to our data practices as described therein.

10. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that the Service will be uninterrupted, error-free, or that any specific registration will be approved. We are not responsible for actions or decisions made by Twilio, TCR, or any carrier.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, 10DLCwizard SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR BUSINESS OPPORTUNITIES, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE.

Our total aggregate liability to you for any claim arising out of or related to these Terms or the Service shall not exceed the greater of (a) the amount you paid us in the 12 months preceding the claim, or (b) $100 USD.

12. Indemnification

You agree to indemnify, defend, and hold harmless 10DLCwizard and its officers, directors, employees, and agents from any claims, damages, losses, and expenses (including reasonable attorneys' fees) arising from: (a) your use of the Service; (b) your violation of these Terms; (c) your violation of any law or third-party rights; or (d) any information you submit through the Service.

13. Termination

You may close your account at any time from the Settings page. We may suspend or terminate your access immediately if you violate these Terms or if required by law.

Upon termination, your right to use the Service ceases immediately. Sections that by their nature should survive termination (including Sections 5, 9, 10, 11, 12, 14) will survive.

14. Governing Law and Disputes

These Terms are governed by the laws of the State of Delaware, USA, without regard to its conflict of law principles. Any dispute arising under these Terms shall be resolved by binding arbitration under the rules of the American Arbitration Association, except that either party may seek injunctive relief in a court of competent jurisdiction for intellectual property or confidentiality violations.

15. Changes to These Terms

We may update these Terms from time to time. We will notify you of material changes by email or by posting a notice in your dashboard at least 14 days before the changes take effect. Continued use of the Service after the effective date constitutes acceptance of the updated Terms.
